The Business Development & Licensing - Transaction Lead will be responsible for consistently delivering flawless executed licensing deals that are legally and commercially robust. The BD&L Transaction Lead will be seen as the execution anchor within the BD team – keeping transactions on track and avoiding execution risks. They will have strong credibility with external counterparties and internal stakeholders, building trust through precision, persistence and results. Ideally, this individual will be a transaction advisory professional from investment banking execution teams with experience in biopharma licensing/M&A.

Responsibilities

  • Deal Execution Leadership: Manage the end-to-end execution of licensing transactions, from term sheet through definitive agreements and closing.
  • Contract & Term Sheet Oversight: Draft, review, and refine deal documentation in collaboration with external counsel and internal legal teams; ensure terms are legally sound, commercially balanced, and aligned with financial models.
  • Financial Structuring: Partner with Deal Leads and Deal Support to optimize licensing economics (milestones, royalties, equity components, profit-sharing structures).
  • Stakeholder Management: Coordinate across internal functions (legal, finance, R&D, commercial) to ensure alignment and timely decision-making.
  • External Counterparty Engagement: Serve as a primary interface with partner companies, law firms, advisors, and bankers during transaction execution.
  • Risk Anticipation & Resolution: Identify potential roadblocks in contract negotiation and execution, proactively developing solutions to maintain deal momentum.
  • Closing Discipline: Ensure flawless execution of final agreements, with all conditions precedent tracked, risks mitigated, and post-closing obligations defined.

Qualifications

  • BA or BS required; Advanced degree preferred: JD, MBA, or equivalent transactional/financial training.
  • 10+ years of experience in transaction advisory, legal (M&A/licensing), or corporate development within biopharma.
  • Advanced degree preferred: JD, MBA, or equivalent transactional/financial training.
  • Demonstrated track record of leading execution of complex cross-border transactions.
  • Corporate development or BD execution specialists from pharma/biotech with proven track record of closing complex transactions.
  • Familiarity with Japanese market and corporate governance is advantageous but not required.
  • Willingness to travel and manage multiple simultaneous deal processes.
  • Deep familiarity with licensing/M&A contract structures, risk allocation, and regulatory considerations.
  • Strong financial literacy, comfortable translating contract terms into economic impact.
  • Persistent, detail-oriented “finisher” mentality with ability to keep multiple stakeholders aligned under tight timelines.
  • Strong negotiation and interpersonal skills; able to maintain credibility with counterparties and senior leadership.
  • Practical problem solver, capable of balancing legal precision with commercial pragmatism.

The salary range for this position is $310,000 - $330,000. Factors such as scope and responsibilities of the position, candidate's work experience, education/training, job-related skills, internal peer equity, as well as market and business considerations may influence base pay offered. This salary may be subject to a geographic adjustment (according to a specific city and state and depending on the role), if an authorization is granted to work outside of the location listed in this posting.

 

This position is eligible to participate in our annual Short-Term Incentive (STI) program.  Specific information about the plan including eligibility rules and target, will be furnished upon hire.
